BecomingIQ Use-of-Site Terms

1. Scope

These Use-of-Site Terms (the "Terms") govern your use of becomingiq.com (the "Site"). The Site is operated by FlowState IQ LLC, an Illinois limited liability company ("FlowState IQ," "we," "us," or "our").

These Terms govern your visit to the Site. They do not govern:

  • Use of the FlowState IQ platform at flowstateiq.com (governed by the FlowState IQ Platform Terms of Service at flowstateiq.com/terms).
  • Use of the First Arc product at flowstateiq.com/elevate (governed by the Arc Terms of Service at flowstateiq.com/elevate/terms).
  • Customer use of a BecomingIQ operator workspace under an executed Engagement Letter (governed by that Engagement Letter and the documents it incorporates).

If you are a BecomingIQ customer with an executed Engagement Letter, your use of your operator workspace is governed by that Engagement Letter, which controls in any conflict between that Engagement Letter and these Terms with respect to your engagement.

By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.


2. Privacy

The FlowState IQ Privacy Policy at flowstateiq.com/privacy is the canonical privacy disclosure for the Site and is incorporated by reference into these Terms. The footer "Privacy" link on the Site resolves to that canonical document.

The Privacy Policy describes how we handle information across all FlowState IQ LLC destinations, including the Site's public surface (where no personal data is collected from visitors beyond standard server logs) and BecomingIQ operator workspaces (where customer data is processed under an executed Engagement Letter).


3. The Site Showcases Work in Development

The Site presents in-development builds, features, prototypes, design explorations, and other work product operated by FlowState IQ LLC, including but not limited to BecomingIQ-branded builds and customer-specific operator workspace previews.

You acknowledge that:

  • The work shown on the Site is in development. Features, designs, copy, and capabilities may change without notice.
  • The work shown is provided "as is" for informational purposes. The Site does not constitute an offer to sell, license, or provide any product or service. Any such offer is made only through a separate written agreement (such as a FlowState IQ Engagement Letter).
  • The work shown may include client-specific examples authorized for display. Display of a client name or work product does not imply that you can replicate, license, or use that client's work product without separate authorization.

4. Acceptable Use

You agree to use the Site lawfully and in good faith. Without limiting that obligation, you agree not to:

  • Access or attempt to access the Site through any means other than the publicly available interfaces we provide.
  • Scrape, crawl, harvest, or otherwise collect Site content in bulk, whether by automated means or manually.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code, schemas, prompt structures, or non-public design or methodology of any in-development build shown on the Site.
  • Probe, scan, or test the vulnerability of the Site or attempt to bypass authentication, access controls, or rate-limits applied to gated content on the Site (such as operator workspaces).
  • Use the Site to transmit malware, send unsolicited communications, or conduct any activity that interferes with the Site's operation or other users' access.
  • Misrepresent yourself as affiliated with FlowState IQ LLC, BecomingIQ, or any FlowState IQ customer, or use the Site to defraud any party.
  • Use the Site in a manner that violates applicable law, including U.S. export control laws and economic-sanctions regulations.

We may suspend or terminate your access to the Site at any time, with or without notice, if we determine in our reasonable discretion that you have violated these Terms or applicable law.


5. Intellectual Property

5.1 Our Rights

All content on the Site — including the in-development builds, designs, copy, methodologies, prompt structures, the BecomingIQ name and brand, the FlowState IQ name and brand, and any related trademarks and logos — is the property of FlowState IQ LLC or its licensors. Nothing on the Site grants you any license or right in any of the foregoing except the limited right to access and view the Site for personal informational purposes.

5.2 Customer-Authorized Examples

Where the Site displays work product or examples derived from a customer engagement, that display is made under permission from the customer. The customer retains rights in their own data and operational context per the executed Engagement Letter. Display on the Site does not transfer those rights to you.

5.3 Feedback

If you voluntarily send us feedback, suggestions, or ideas about the Site or any work shown on it, you grant FlowState IQ LLC a non-exclusive, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you.


6. No Warranty

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOWSTATE IQ LLC DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

The Site's purpose is to showcase in-development work. We do not warrant that any feature, design, or capability shown on the Site will be released, will function as shown, or will be available for license or sale.


7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLOWSTATE IQ LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF FLOWSTATE IQ LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by applicable law.


8. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. You and FlowState IQ LLC agree that any dispute arising out of or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you and FlowState IQ LLC consent to the personal jurisdiction of those courts.

This venue selection aligns the Site with the FlowState IQ Platform Terms of Service and the Arc Terms of Service, which use the same governing law and venue.


9. International Users

The Site is operated from and for the United States. We do not target users in the European Union, the European Economic Area, the United Kingdom, or other jurisdictions with comprehensive cross-border data protection regimes. See the FlowState IQ Privacy Policy §9.4 for the full non-targeting disclosure. If you access the Site from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.


10. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on the Site and update the "Last Updated" date. Material changes take effect thirty (30) days after posting; non-material changes (typo fixes, clarifications that do not alter substantive rights) take effect immediately upon posting. Your continued use of the Site after the effective date of any change constitutes acceptance of the updated Terms.

  6. Hosting Services Agreement — when triggered, confirm interaction between this document and the Hosting Services Agreement template (likely no overlap — Use-of-Site governs visit, HSA governs paid hosting — but verify)
  7. Clickwrap pattern — if any future Site interaction transitions from disclosure-mode to bound-acceptance (for example, a contact form, a waitlist, an email capture), evaluate whether these Terms need to be presented for affirmative acceptance at that interaction
